7.1 PAYMENT TERMS AND INVOICING. In consideration of the Services provided by Contractor under this Agreement, Client shall pay Contractor the fees set forth in the applicable Statement of Work. Contractor shall submit invoices to Client on a monthly basis for Services rendered during the preceding month.
Payment of all undisputed amounts shall be made by Client within ninety (90) days following receipt of a properly formatted invoice from Contractor.
Client reserves the right to withhold payment for any Services that it determines, in its sole and absolute discretion, do not conform to the requirements of this Agreement. In the event of a dispute regarding any invoiced amount, Client shall pay the undisputed portion, and the Parties shall resolve the dispute in accordance with Section 14.
Contractor shall be responsible for all taxes, including but not limited to self-employment, income, and local business taxes, arising out of the payments made by Client under this Agreement.
